Liminal Listing Automation — Terms & Conditions

Last updated: October 4, 2026 · Version 0.3

These Terms & Conditions ("Terms") govern the listing-drafting service ("Service") provided by Liminal ("we," "us," "our") — the public brand of DevelopPlay Studio — to the merchant ("you," "your"). By connecting your Shopify store, submitting the setup form, or using the Service, you agree to these Terms.

1. Definitions

1.1 "Listing" means one Shopify product draft we prepare for you, including title, description, tags, SEO fields, images, pricing, and variant/quantity data.
1.2 "Draft" means a Shopify product with status draft — not visible in your store until you publish it.
1.3 "Billing Period" means one calendar month of paid subscription, starting on the date your subscription activates and renewing monthly on that date.

2. Description of Service

2.1 What we do. You provide product photos (and any details you choose to share, such as sizes, prices, and quantities). We write titles, descriptions, tags, and SEO copy in your store's voice, upload the images, and create the products in your Shopify as drafts only for your review.

2.2 What we never do. We never publish products, change prices or inventory on live products, or access your orders, customers, payouts, discounts, or store settings. Our Shopify access is deliberately limited to products and inventory.

2.3 Human review. Listing copy may be prepared with AI assistance and is always subject to your review. Publishing is entirely your decision and your action inside Shopify.

2.4 No guarantees. We do not guarantee sales, search rankings, or any business outcome from the listings. The Service is provided "as is" (see Section 13).

3. Account & Eligibility

3.1 You must be at least 18 years old and authorized to bind your business.
3.2 You must provide accurate store and contact details and keep them current.
3.3 Your dashboard link carries a private access token — treat it like a password and do not share it. You are responsible for activity under your account.

4. Free Trial

4.1 Your first 3 listings are free — no credit card required, no obligation.
4.2 The trial covers apparel listings for a single connected store.
4.3 The paid subscription starts only after you review the trial drafts and explicitly approve the subscription on PayPal's own screen. Nothing is charged before that.

5. Subscription & Billing

5.1 Plan. After the trial, the Service is $199/month (USD), billed monthly in advance through PayPal. The plan includes up to 100 listings per Billing Period. There is no setup fee and no contract.

5.2 Overage. Listings beyond 100 in a Billing Period are billed at $3 per listing, payable as a one-time PayPal payment from your dashboard. We never charge overage automatically — you review the amount and approve each payment yourself.

5.3 Unused listings do not roll over to the next Billing Period.

5.4 Auto-renewal. Your subscription renews automatically each Billing Period until you cancel. We will give at least 30 days' notice before any price change; continued use after the change takes effect constitutes acceptance.

5.5 Payment failure. If PayPal cannot collect a renewal, we will notify you and retry per PayPal's policy. If payment remains unresolved for 14 days, we may suspend draft creation until the account is current. Your existing drafts are never deleted or altered by us.

6. Cancellation & Refunds

6.1 You may cancel anytime from your dashboard or directly in PayPal. Cancellation stops future renewals; your access continues until the end of the Billing Period you have already paid for.

6.2 No refunds or proration. All fees are non-refundable. Cancelling mid-period does not trigger a partial refund or credit — this is the trade-off for no contract and no setup fee.

6.3 After cancellation, we stop creating drafts. Your existing drafts and published products remain yours in your Shopify store, untouched.

7. Your Responsibilities

7.1 Provide product photos you own or have the right to use, plus any details you want reflected (sizes, prices, quantities, fabric content).
7.2 Review every draft before publishing. You are responsible for the final content that goes live in your store, including accuracy of materials, care instructions, sizing, and pricing.
7.3 Maintain your Shopify connection and photo folder access so we can deliver drafts.
7.4 Use the Service in compliance with applicable laws and Shopify's own terms.

8. Acceptable Use

You agree not to: (a) use the Service for anything unlawful, infringing, or deceptive; (b) upload photos you don't have rights to; (c) attempt to access other merchants' data, reverse-engineer the Service, or resell the Service without our written permission; (d) abuse the Service in a way that degrades it for others. We may suspend accounts that violate this section.

9. Our Service Commitments

9.1 Drafts are delivered as Shopify drafts only — never published by us.
9.2 We target a 24-hour turnaround from complete photo upload to finished drafts, excluding weekends and holidays; this is a target, not a guarantee.
9.3 Never-guess rule. Fabric composition and any attribute a photo cannot show are left blank or flagged for your confirmation unless you supplied them — never invented.
9.4 If anything material is ambiguous, we hold the listing and ask you rather than guessing.

10. Intellectual Property

10.1 Yours. Your photos, products, store data, and the finished listing copy we prepare for your store are yours. You grant us a limited license to use them solely to operate the Service for you.
10.2 Ours. The Liminal platform, workflows, and branding remain our property. These Terms give you a limited, non-exclusive, non-transferable right to use the Service — not ownership of it.

11. Confidentiality

Each party agrees to keep the other's non-public business information confidential and use it only to perform under these Terms. This does not apply to information that is public, independently developed, or required to be disclosed by law.

12. Privacy

How we collect, use, and protect your data is described in our Privacy Policy, which is part of these Terms.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET ANY PARTICULAR SALES OR RANKING OUTCOME.

14. Limitation of Liability

14.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2 No liability for published listings. Every listing we prepare is delivered as a Shopify draft only. A listing goes live solely by your own review and publish action inside Shopify. You are solely responsible for verifying the accuracy of every draft — including materials, care instructions, sizing, pricing, and regulatory compliance — before publishing. Because we do not publish, we assume no liability for the content, accuracy, or business consequences of any listing you publish, or for any reliance you place on our drafts without review.
14.3 Section 14.1 does not limit liability for gross negligence, willful misconduct, or a party's indemnification obligations under Section 15.

15. Indemnification

15.1 You agree to indemnify and hold us harmless from third-party claims arising from (a) your photos, products, or store content; (b) your use of the Service in violation of these Terms or law; or (c) listings you publish after review.
15.2 We agree to indemnify you against third-party claims that the Service itself infringes their intellectual property rights.

16. Term & Termination

16.1 These Terms begin when you first use the Service and continue while your account is active.
16.2 Termination for cause. Either party may terminate if the other materially breaches these Terms and fails to cure within 30 days of written notice.
16.3 Effect. On termination: draft creation stops, your subscription cancels per Section 6, and your data is handled per our Privacy Policy (deletion on request within 30 days, except records we must retain by law). Sections 6.2, 10, 11, 13, 14, 15, and 17 survive termination.

17. Governing Law & Disputes

17.1 These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law principles.
17.2 Disputes shall be resolved in the state or federal courts located in New York County, New York, and you consent to their jurisdiction. You agree to first contact us at liminal.live7@gmail.com to attempt informal resolution.

18. Changes to These Terms

We may update these Terms; material changes take effect 14 days after notice to your account email. Continued use after that date constitutes acceptance. The current version is always at this page.

19. General

19.1 Entire agreement. These Terms (plus the Privacy Policy) are the entire agreement between you and us regarding the Service.
19.2 Severability. If any provision is held unenforceable, the rest continue in full force.
19.3 No waiver. Failing to enforce a provision is not a waiver of it.
19.4 Assignment. You may not assign these Terms without our consent; we may assign them in connection with a business transfer.
19.5 Contact. Liminal — liminal.live7@gmail.com.
